SpaceX Warns Short Sellers as Its Post-IPO Story Meets a Harder Market

SpaceX has warned investors against betting on its decline, even as short positions reportedly reached about 32% of its tradable shares. Elon Musk said firms maintaining large bearish positions would eventually face a “very low” probability of survival.
That warning landed during an uncomfortable reversal. SpaceX completed its public offering in June, surged after listing, and then fell below its offering level within several weeks. Short sellers gained as the stock retreated from its post-IPO high.
The clash now extends beyond one volatile stock. Bears see a valuation that assumes exceptional growth across satellite broadband, launch services, artificial intelligence, and future space infrastructure. Musk sees a company with unmatched launch capacity and expanding connections to Tesla.
The next test arrives with SpaceX’s first quarterly report as a public company. Investors will examine operating results, capital spending, Starship progress, and a scheduled increase in shares eligible for sale.
SpaceX Short Sellers Turn a Pullback Into a Major Bet
The short position has become large enough to influence how investors interpret every new SpaceX development.
Short selling involves borrowing shares, selling them, and attempting to repurchase them later at a lower value. The trade produces a profit when the stock falls. It can generate unlimited losses when the stock rises sharply.
Data cited in the original report placed SpaceX short interest near 32% of its tradable float. The float represents shares readily available for public trading, excluding many restricted or closely held positions.
That distinction matters because SpaceX has far more shares outstanding than investors can currently trade. A high percentage of a limited float can magnify price movements in either direction.
A sudden wave of buying can force short sellers to close their positions. Closing requires purchasing shares, which can push the stock higher and pressure other bearish investors. This feedback loop is known as a short squeeze.
However, high short interest is not automatically evidence that a squeeze will occur. It can also indicate widespread concern about valuation, earnings quality, future dilution, or an approaching increase in available shares.
SpaceX entered public markets on June 12. The company said its offering ultimately included about 638.9 million Class A shares after underwriters exercised their full option. Gross proceeds reached approximately $85.7 billion, according to its IPO closing statement.
The scale of that transaction helped create an unusually visible market debut. SpaceX was no longer valued through occasional private share sales involving selected investors and employees. Its valuation became a continuous public judgment.
Shares initially climbed well above their offering level. That rally rewarded early buyers and increased pressure on investors who had established bearish positions.
The direction later reversed. SpaceX fell below its offering level as investors reconsidered its valuation and near-term spending requirements. According to short-selling estimates, bearish positions accumulated substantial paper gains during the decline.
A paper gain remains unrealized until a short seller closes the trade. This creates an important difference between being correct about the direction and successfully exiting the position.
Musk’s warning focuses on that exit problem. Even a short seller with an early gain can lose it during a rapid rebound. SpaceX’s limited float and devoted investor base make that possibility difficult to dismiss.
Yet the same warning does not answer the bears’ central question. Investors still need to decide whether SpaceX’s operating businesses justify the expectations embedded in its valuation.
That is why the conflict is more significant than Musk’s familiar opposition to short selling. The market now has access to public financial disclosures, quarterly reporting, and daily price discovery. SpaceX must defend its story with measurable results.
The Real Dispute Is About SpaceX’s Valuation
Short sellers are challenging the gap between SpaceX’s current operations and the enormous future implied by its market value.
SpaceX is not a conventional aerospace company. It combines reusable launch systems, satellite communications, government contracts, spacecraft development, and artificial intelligence operations within one corporate structure.
That mix creates several possible valuation models. Investors can treat SpaceX as an aerospace manufacturer, a broadband network, an AI infrastructure company, or a platform spanning all three markets.
Each model produces different expectations. Launch services require expensive hardware and extensive testing. Satellite broadband requires continuous network investment. AI development demands chips, data centers, energy, and engineering talent.
The optimistic argument starts with SpaceX’s operational advantages. Falcon 9 has established a high flight frequency, while reusable boosters reduce the need to build an entirely new first stage for every mission.
SpaceX told investors that its launch systems carried more than 80% of global mass delivered to orbit since 2023. The company also reported hundreds of Falcon flights and extensive booster reuse.
Those are company disclosures, not guarantees of future margins. They still show why investors hesitate to value SpaceX like an early-stage rocket developer.
Starlink provides the second part of the bull case. Satellite broadband gives SpaceX a recurring service business that can grow separately from individual rocket contracts.
The network also creates internal demand for launches. SpaceX can deploy its own satellites without relying on a competing launch provider, while launch improvements can reduce network expansion costs.
That vertical integration is difficult for rivals to replicate. A broadband competitor without its own rockets must purchase launch capacity. A launch company without a large satellite network lacks the same recurring internal customer.
The problem is that operating advantages do not remove financial risk. SpaceX’s registration filing reported $18.7 billion in consolidated revenue for 2025. It also reported a $4.9 billion net loss.
For the first quarter of 2026, the company reported about $4.7 billion in revenue and a net loss exceeding $4.2 billion. Those results reflected heavy investment and losses within the broader corporate structure.
Adjusted measures presented a more favorable picture, but investors cannot ignore the difference between adjusted performance and net income. Stock-based compensation, depreciation, financing costs, and development spending still affect shareholder value.
The public company also includes exposure to artificial intelligence. That creates another source of potential growth, but it adds capital requirements and competitive pressure.
AI infrastructure requires a continuous supply of advanced processors, large power commitments, and expensive data centers. SpaceX must compete for those resources with Microsoft, Alphabet, Amazon, Meta, OpenAI, and other well-funded operators.
Space-based computing offers a more speculative opportunity. Supporters argue that solar energy and orbital infrastructure can eventually support specialized AI workloads. Critics point to launch costs, radiation, cooling, maintenance, communications latency, and replacement cycles.
These projects do not need to fail for the bearish argument to work. They only need to produce returns more slowly than the stock’s valuation assumes.
That is the core disagreement. Bulls treat SpaceX’s businesses as reinforcing components of a unique infrastructure platform. Bears treat them as several expensive ambitions competing for capital within one company.
Both sides can point to real evidence. SpaceX has operational capabilities that competitors have struggled to match. It also has large losses and projects that require years of execution.
Musk’s record makes the debate harder. Tesla survived periods when many investors expected financing constraints, production failures, or collapsing demand. Long-term shareholders gained when the company overcame several of those challenges.
Past success does not settle SpaceX’s valuation. It does explain why short sellers must account for more than traditional financial ratios.
Why Musk Says the Bears Face Poor Survival Odds
Musk’s warning rests on market structure and long-term execution, not on proof that SpaceX shares have reached a floor.
Short sellers face an asymmetric risk. Their maximum gain occurs if the stock falls to zero, while their theoretical loss has no fixed ceiling.
That structure becomes especially dangerous when available shares are limited. A short seller may struggle to find shares to borrow, pay higher borrowing costs, or close a position during a sharp rally.
SpaceX adds several company-specific risks to that equation. It has a recognizable consumer brand, a large retail following, significant institutional attention, and a chief executive willing to confront bearish investors publicly.
A positive catalyst can therefore produce an exaggerated move. Strong Starlink results, a successful Starship flight, a major government contract, or improved AI economics could change sentiment quickly.
Index ownership can add another layer of demand. Funds tracking an index must purchase qualifying companies according to the index’s rules, regardless of an individual portfolio manager’s opinion.
That demand does not guarantee lasting gains. It can still reduce the supply available to other buyers during a sensitive trading period.
Musk’s statement also invokes time. Maintaining a large short position for months or years can be expensive, even when the underlying thesis remains intact.
Borrowing fees reduce returns. A rising stock can trigger margin requirements. A fund may close a valid long-term trade because it cannot absorb short-term losses.
This is why “survival” carries more meaning than a simple price prediction. Musk is arguing that bearish institutions will be unable to withstand the path toward SpaceX’s long-term value.
His language also shifts attention away from recent performance. Instead of explaining why the stock fell, Musk asks investors to imagine what happens when SpaceX reaches its largest goals.
Those goals include a larger Starlink network, more capable Starship operations, lunar missions, defense services, and possible space-based computing. Each opportunity expands the optimistic valuation narrative.
However, investors should separate potential from probability. SpaceX can have several large addressable markets without capturing all of them. It can lead launch services while producing weak returns in another segment.
Starship remains particularly important. The vehicle is intended to carry far more payload than Falcon 9 and support missions that current systems cannot perform efficiently.
Its development path includes testing failures, redesigns, regulatory reviews, and schedule changes. These are normal features of an ambitious rocket program, but public investors will attach financial consequences to every delay.
A private SpaceX could absorb those cycles without a daily public reaction. A listed SpaceX must report spending, losses, and material risks while the program develops.
Musk’s warning therefore contains a real market insight and a rhetorical diversion. The market insight concerns the danger of shorting a volatile company with a constrained float. The diversion is that short-seller risk does not establish fair value.
A stock can be too expensive and still punish bearish traders. It can also be operationally impressive while delivering poor returns from a particular starting valuation.
Investors should resist treating the situation as a referendum on Musk alone. The more useful question concerns the relationship between financial performance, capital intensity, and the share supply available for trading.
Tesla Overlap Makes the SpaceX Story More Complicated
A potential Tesla and SpaceX combination offers strategic logic, but it also raises questions about governance, valuation, and capital allocation.
Tesla’s second-quarter results added urgency to the discussion. The electric vehicle maker reported earnings below market expectations, followed by a one-day share decline of about 14.5%.
Tesla still reported revenue growth, but research and development spending increased as the company invested in robotaxis, robotics, batteries, manufacturing, and artificial intelligence.
The quarterly results showed how quickly ambitious technology programs can pressure current earnings. That same tension sits at the center of the SpaceX short thesis.
During Tesla’s earnings call, Musk was asked about a possible transaction involving the two companies. He did not confirm a deal, but he also declined to close the door.
Musk said there was “more and more overlap” between Tesla and SpaceX across several forms of collaboration. He added that a combination could not be discussed directly during that earnings call.
The merger comments encouraged analysts to examine how the two companies might fit together. The overlap is no longer limited to sharing a chief executive.
Both companies need advanced AI chips, high-density computing systems, batteries, power electronics, manufacturing automation, and specialized materials. They also employ engineers working on autonomy, robotics, communications, and large-scale infrastructure.
Tesla can contribute battery technology, manufacturing knowledge, energy systems, and physical AI development. SpaceX can contribute communications, launch capacity, government relationships, and global infrastructure.
Starlink connectivity could support Tesla vehicles in areas where terrestrial networks remain weak. Tesla energy systems could support remote ground stations, data infrastructure, or other SpaceX facilities.
A combined purchasing strategy might also improve negotiating leverage for chips and raw materials. Shared development could reduce duplicated work across AI training, inference, energy management, and manufacturing.
These possibilities form the strategic case. They do not establish that a merger would benefit every shareholder.
The companies have different risk profiles and cash requirements. Tesla faces competition in electric vehicles, autonomy, robotics, and energy storage. SpaceX faces launch risk, network investment, defense obligations, and long-duration space development.
Combining them would not remove those risks. It would place them on one balance sheet and ask investors to value an even more complicated organization.
Governance would become another concern. Musk already exercises significant influence over both companies. A transaction would require boards to evaluate exchange ratios, conflicts, financing, and fairness for separate shareholder groups.
Any deal structure would determine who absorbs which liabilities and growth expectations. Tesla investors might gain access to Starlink and launch economics, but they could also inherit more aerospace and AI development costs.
SpaceX shareholders might gain Tesla’s manufacturing scale and energy systems. They could also receive greater exposure to vehicle demand, autonomy regulation, and Tesla’s spending cycle.
Short sellers may interpret merger speculation as evidence that SpaceX’s valuation narrative needs another catalyst. Bulls may see the same discussion as the natural consolidation of related infrastructure businesses.
Neither interpretation has been confirmed. Musk’s comments establish growing operational overlap, not a transaction timetable or an agreed structure.
The speculation still changes the market debate. SpaceX can no longer be analyzed solely through launches and satellite subscriptions. Investors must consider whether Musk intends to create a larger integrated technology group.
That possibility increases the upside range, but it also increases uncertainty. A more ambitious corporate structure provides more ways to create value and more ways to misallocate capital.
What the Short Thesis Still Gets Right
The bearish case remains credible because SpaceX must convert technical leadership into durable shareholder returns.
The first concern is valuation discipline. A category-leading company can still produce disappointing investment returns when buyers assume years of near-perfect execution.
SpaceX must grow into expectations covering multiple industries. Launch leadership alone may not be enough if investors have already priced in dominance across broadband, AI, defense, and future orbital infrastructure.
The second concern is capital intensity. Rockets, satellites, ground stations, data centers, and chip procurement require large continuing investments.
Reusable systems can lower costs, but reuse does not make infrastructure free. SpaceX must maintain vehicles, replenish satellites, develop Starship, and expand network capacity.
The third concern is execution concentration. Several important parts of the valuation depend on Starship reaching greater reliability and flight frequency.
Starship affects launch economics, satellite deployment, lunar contracts, Mars planning, and proposed orbital computing. Delays can therefore influence several narratives at once.
The fourth concern is the combined company’s financial complexity. SpaceX’s consolidated reporting includes businesses with different economics, investment cycles, and competitive environments.
Strong results in Starlink can coexist with large losses elsewhere. Investors need segment data to understand whether profitable operations are financing projects with credible returns.
The fifth concern is share supply. A high short-interest ratio can support a squeeze when trading supply is tight. It can become less supportive when restricted shares enter the market.
SpaceX’s staged lockup allows portions of eligible insider and employee holdings to become available over time. The first public earnings report is expected to trigger an important release window.
Additional supply does not mean that every eligible holder will sell. Employees and early investors may retain their positions, particularly if they expect long-term appreciation.
However, even a modest selling rate can change market dynamics. More available shares can reduce scarcity, improve short sellers’ access to borrowable stock, and limit the force of a squeeze.
The sixth concern involves headline dependence. SpaceX receives frequent attention for launches, contracts, engineering milestones, and Musk’s public statements.
Positive headlines can support sentiment, but public investors eventually require recurring financial evidence. Revenue quality, cash generation, margins, and return on invested capital become harder to defer.
None of these concerns predicts a corporate failure. They describe the gap between SpaceX succeeding as an enterprise and its stock succeeding from its current valuation.
That distinction is essential. A company can increase revenue, launch more rockets, and add broadband customers while its shares underperform. Market expectations can rise faster than business results.
Short sellers also face weaknesses in their own argument. They must select an entry point, maintain borrow access, manage margin exposure, and decide when to exit.
A long investor can wait through volatility without a forced closing date. A short seller may not have that freedom, especially when a concentrated position moves rapidly against the fund.
The reported 32% short interest therefore expresses conviction, but it also creates vulnerability. Each new bearish position increases the number of shares that eventually must be repurchased.
The market will settle the argument through results rather than declarations. Musk’s warning cannot erase losses, and short interest cannot erase SpaceX’s operational advantages.
Three Signals Will Decide What Happens Next
The next several months will test the short thesis through earnings, share supply, and Starship execution.
The first signal is SpaceX’s initial quarterly report as a listed company. Investors should focus on consolidated revenue, segment performance, operating cash flow, and capital spending.
Starlink’s contribution deserves particular attention. The service needs to demonstrate that subscriber and network growth can support the company’s more expensive development programs.
Investors should also examine the AI operations. Rapid revenue growth would support SpaceX’s broader platform story, but spending and operating losses will reveal the cost of that expansion.
Management’s forecast matters as much as the reported quarter. A clear explanation of future investment can reduce uncertainty, while vague long-term promises may reinforce valuation concerns.
The second signal is trading after restricted shares become eligible for sale. This event will test whether SpaceX’s limited float has amplified both the earlier rally and the subsequent short squeeze risk.
Heavy insider selling would strengthen the bearish argument about supply and valuation. Limited selling would suggest that employees and early investors remain confident in the company’s longer-term prospects.
Borrowing conditions will provide another clue. Lower fees and greater share availability would make bearish positions easier to maintain. Continued scarcity would preserve the danger highlighted by Musk.
The third signal is Starship’s operational progress. Investors need more than a successful demonstration flight. They need evidence of repeatability, payload deployment, manageable refurbishment, and a credible launch cadence.
Progress on those measures would strengthen several parts of the SpaceX valuation at once. It would support Starlink expansion, lunar missions, larger commercial payloads, and future infrastructure plans.
Further delays would not invalidate the entire company. Falcon and Starlink can continue operating while Starship develops. However, delays would push important returns further into the future.
Tesla and SpaceX merger discussions remain a secondary signal. A formal proposal would force both companies to disclose strategic reasoning, governance procedures, and transaction economics.
Until that happens, investors should treat growing overlap as operating context, not an announced deal. Speculation alone cannot support a reliable valuation model.
The same discipline should apply to Musk’s warning. It deserves attention because shorting a volatile, tightly traded company carries genuine structural risk. It should not replace financial analysis.
SpaceX short sellers now face a difficult combination. Their valuation concerns have received support from the stock’s decline, but their growing positions raise the risk of a disorderly exit.
Long investors face the opposite problem. SpaceX owns valuable infrastructure and significant technical advantages, yet much of that promise already appears embedded in expectations.
Watch the next earnings report, the first major share release, and Starship’s operational cadence. Together, those signals will show whether the pullback exposed excessive optimism or created a temporary opening.
The better question is not whether Musk or the short sellers will win a public argument. It is whether SpaceX can make operating performance catch up with its expanding corporate story.
